Non-Disclosure Agreement

9RIba — Confidentiality Agreement

1. Purpose

This Agreement is entered into to protect the confidential information of 9RIba (the "Company") shared with the Receiving Party for the purpose of beta testing, development, or business partnership discussions.

2. Definition of Confidential Information

"Confidential Information" includes but is not limited to:

• Business plans, strategies, and financial projections
• Source code, algorithms, and technical architecture
• User data, analytics, and metrics
• Design concepts, wireframes, and prototypes
• Marketing plans and launch strategies
• Partner and vendor relationships
• Any information marked as "Confidential" or reasonably understood to be confidential

3. Obligations of Receiving Party

The Receiving Party agrees to:

• Keep all Confidential Information strictly confidential
• Not disclose Confidential Information to any third parties
• Not use Confidential Information for any purpose other than the agreed-upon purpose
• Take reasonable measures to protect Confidential Information
• Not copy, reproduce, or distribute Confidential Information without written consent

4. Exceptions

This Agreement does not apply to information that is or becomes publicly available, was already known to the Receiving Party, is independently developed, or is required to be disclosed by law.

5. Return of Information

Upon termination of discussions or at the Company's request, the Receiving Party shall return all documents and materials, destroy all copies, and provide written confirmation of such destruction.

6. Term

This Agreement shall remain in effect for 2 years from the date of signing.

7. Remedies

The Receiving Party acknowledges that breach of this Agreement may cause irreparable harm. The Company shall be entitled to injunctive relief, monetary damages, and legal fees.

8. Governing Law

This Agreement is governed by the laws of Morocco.
